Changes in the Supervisory Board of PKN ORLEN
The Extraordinary General Meeting of PKN ORLEN changed the composition of the Company’s Supervisory Board today. Five Members were removed from the Supervisory Board at the request of the State Treasury Ministry. In their place, the General Meeting appointed five new Members, including four Members recommended by the Ministry and one recommended by a shareholder – Nationale-Nederlanden OFE. The General Meeting resolved that the Supervisory Board would be composed of nine members.
The following persons were removed from the Supervisory Board: Adam Ambrozik, Cezary Banasiński, Grzegorz Borowiec, Cezary Możeński, and Leszek Pawłowicz.
The following persons were appointed to the Supervisory Board: Mateusz Henryk Bochacik, Adrian Dworzyński, Agnieszka Krzętowska, Remigiusz Nowakowski, and Arkadiusz Siwko.
Mr Mateusz Henryk Bochacik: an attorney-at-law running his own law practice in Kraków specialising in civil, commercial and administrative law. In the course of his career, he has represented both public and private clients, including commercial-law companies, local governments and journalists. Mr Bochacik has provided legal representation services in several dozen cases before courts of general jurisdiction, administrative courts and the Supreme Court. He also served as an assistant to Zbigniew Wassermann (a minister, special forces coordinator and Member of the Polish Sejm) as well as head of Mr Wassermann’s constituency office (2007–2010). In 2010–2013, Mr Bochacik was an assistant to Paweł Kowal, Member of the European Parliament.
Mr Adrian Dworzyński: nominated by a shareholder – Nationale-Nederlanden OFE. Mr Dworzyński is a legal counsel with over 15 years experience in providing comprehensive legal services to businesses (particularly in the field of commercial companies law, civil law, competition and consumer protection law, telecommunications and new technology law, and administrative law). He also has 10 years experience in heading legal departments of Poland’s largest companies (TOP 30), handling relations and disputes with national regulators, and law making (as a co-author of draft bills). Mr Dworzyński has led comprehensive projects helping businesses adapt to legislative changes (customer relations, distribution network and IT). He has excellent knowledge of law, as confirmed by his first-rate performance at university (TOP 5) and during his legal counsel apprenticeship (2nd best score among 500 candidates in the entry exam). Mr Dworzyński was a member of the District Chamber of Legal Counsels in Warsaw for 10 years, including as its Vice Dean. In 2006–2007, he headed the Legal and Legislative Office of the Chancellery of the President of Poland. Currently Mr Dworzyński provides legal support to business clients at his Law Firm.
Ms Agnieszka Krzętowska: a university lecturer with a PhD in Economics. She currently holds a research and teaching position at the College of Economics and Social Sciences of the Warsaw University of Technology, and is a lecturer at the State School of Higher Professional Education in Płock. For many years, Ms Krzętowska headed the Economics and Law Department at the State School of Higher Professional Education in Płock. Her professional interests lie in the financial aspects of business operations, demography and statistics. She has authored numerous publications on these topics.
Mr Remigiusz Nowakowski: President of the Management Board of Tauron Polska Energia S.A. He is a graduate of the Faculty of Management, Information Systems and Finance of the Wrocław University of Economics, where he specialised in business management, and of the Faculty of Law and Administration of the University of Wrocław, where he specialised in commercial law. He is also a doctoral student at the Department of Strategy and Management Methods of the Faculty of Management, Information Systems and Finance of the Wrocław University of Economics. In 2002–2006, he was President of the Management Board and co-owner of Inercon, a consultancy, which was involved in mergers and acquisitions of companies in the energy and utilities sector in Poland. In 2006–2008, Mr Nowakowski was Member and Vice-President of the Management Board of Tauron Polska Energia, where he also headed the Development Division, and served as President of the Management Board of EnergiaPro Koncern Energetyczny. He was involved in a number of crucial restructuring projects in the Polish energy sector, including consolidation of energy companies comprising the Tauron Group as well as unbundling and establishment of DSOs in the Tauron Group. In 2008–2012, he was involved in the development of new investment projects and construction of the Fortum CHP plant in Poland, particularly by managing the development of CHP projects, acquiring administrative permits, obtaining power and gas grid connection conditions, and selecting suppliers of key process systems for the plant. In 2012–2015, Mr Nowakowski headed the production optimisation and fuel management function at Fortum’s Heat division in Poland, where he was responsible in particular for the development and implementation of Fortum’s fuel supply strategy in Poland, coordination of fuel procurement, planning and optimisation of electricity and heat generation at CHP plants, energy market research and market trend forecasting. He is a manager with extensive experience in the creation and implementation of development strategies in the electricity and heat sectors in Central and Northern Europe, including in particular the strategic management of investment projects and fuel management in energy companies, as well as the preparation and development of investment projects, and design and implementation of public-private partnership models.
Mr Arkadiusz Siwko: President of the Management Board of Polska Grupa Zbrojeniowa S.A.. He is a graduate of the Faculty of Law of the Adam Mickiewicz University of Poznań. He completed a Securities Broker course in Warsaw, run under the auspices of the University of Oxford, as well as an Investment Advisor course. He also took a training course in emergency management in state structures, held in Washington under the auspices of the US Department of State. In 1989–1991, he worked as a researcher in the Institute of Legal Studies of the Polish Academy of Sciences. In 1991–1992, he served as Chief of the Office of the Minister of Internal Affairs, exercising supervision over the Ministry’s offices of administration, licensing, legal and foreign affairs, as well as the Firefighting Services. In 1992, he advised the Minister/Head of the Central Planning Office on development strategies. In 2005, he acted in an advisory capacity to the Minister of Transport and Construction, in the areas of transport and development. In 2006–2008, he served as President of the Management Board of Operator Logistyczny Paliw Płynnych – a leader of the fuel storage market, including mandatory stocks and state reserves, and in 2008–2013, he worked as the CEO of Krajowe Biuro Doradztwa Finansowego Projekt. From 2013 he held the position of President of the Management Board of the Institute for Strategic Studies Grosvenor House. On December 9th 2015, Mr Arkadiusz Siwko was appointed by the Supervisory Board to the position of President of the Management Board of Polska Grupa Zbrojeniowa S.A.
The PKN ORLEN Supervisory Board is currently composed of the following members: Angelina Sarota, Artur Gabor, Radosław Kwaśnicki, Mateusz Henryk Bochacik, Adrian Dworzyński, Agnieszka Krzętowska, Remigiusz Nowakowski, and Arkadiusz Siwko.
