ORLEN Deutschland has signed the agreement with Shell Deutschland Oil

Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”) hereby informs that on 27 April 2011 ORLEN Deutschland GmbH (“ORLEN Deutschland”) signed two agreements with Shell Deutschland Oil GmbH for the sale of fuels to ORLEN Deutschland fuel stations in Germany, for the period 1 January 2011 to 31 December 2011. The total estimated value of the first agreement amounts to approximately EUR 250 m, i.e. PLN 986 m based on EUR/PLN average exchange rate as of 27 April 2011, stated by the National Bank of Poland. The total estimated value of the second agreement amounts to approximately EUR 200 m, i.e. PLN 788 m based on EUR/PLN average exchange rate as of 27 April 2011, stated by the National Bank of Poland.

The total value of agreements signed between PKN ORLEN and PKN ORLEN subsidiaries and companies from the Shell group in the period from 11 January 2011 to 27 April 2011 amounts to approximately PLN 3 003 m.

The agreements between PKN ORLEN and PKN ORLEN subsidiaries and companies from the Shell group were concluded for the purchase of products and crude oil.

In accordance with the “Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information to be published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state” the abovementioned agreements constitute a “significant agreement” due to the fact that their total value exceeds 10% of PKN ORLEN’s equity.

PKN ORLEN owns 100% of the registered capital of ORLEN Deutschland.
