Changes in ORLEN Supervisory Board composition
ORLEN S.A. (“Company”) informs that on 2 December 2024 ORLEN’s Extraordinary General Meeting appointed Ms Ewa Sowińska for the position of the Company’s Supervisory Board Member.
Ms Ewa Sowińska
She has been a Partner of ESO Audit since 1 October 2009. Until then, she was a Director in the Audit and Advisory Services Department responsible for the day-to-day management of PricewaterhouseCoopers' Gdańsk office and a Member of the Management Board of PricewaterhouseCoopers Sp. z o.o. (PwC). She was the Leader of a group dedicated to cooperating with clients from the maritime sector, the Maritime Desk.
She has been qualified as a chartered accountant since 1999. She is one of the first people in Poland to be qualified under the new rules. She has worked in audit firms for over 25 years; including 1996 - 2009 in PwC Sp. z o.o. and since 2009 as a Partner in ESO Audit.
For 12 years (three four-year terms), she actively participated in the work of the self-government of chartered accountants - the Polish Chamber of Chartered Accountants (PIBR). Including 2007-2011, she was a member of the National Supervisory Commission (KKN) and a member of the Regional Council of Statutory Auditors in Gdańsk. From 2011 to 2015 she was a member of the National Council of Statutory Auditors. And from 2015 to 2019 she was Deputy President of the National Council of Statutory Auditors and was mainly responsible for educational issues and non-financial reporting (CSR, today ESG). She organised numerous conferences on EDUCATION - ‘What education of the future’, ‘EDUCATION a compulsory subject’. She coordinated numerous education projects financed by a Swiss grant from the World Bank. She supervised the work of the PIBR Education Centre - organisation of obligatory trainings, publishing process. She was responsible for cooperation with ACCA, Responsible Business Forum (FOB), IIA Poland, the Polish Association of Listed Companies- SEG, the Ministry of Finance (MF) in the field of education and non-financial reporting. She has established a communication team for non-financial reporting. Members of this team include institutions concerned with non-financial reporting, including the MF, SEG ACCA, IIA Poland, SKwP, the Polish Bank Association, FOB, the Ministry of Development, the PFSA. She has represented PIBR in many debates and conferences.
In 2017, she received the PIBR medal for activities for the self-government of chartered accountants.
In 2014 she completed my postgraduate studies at the School of Social Psychology and since then she has been involved in business and life coaching.
She is a member of the Association of Independent Board Members – SNCRN.
She is the originator and Mentor of the postgraduate study programme #ESG in practice at the Sopot Academy of Applied Sciences (#SANS) - three editions have already been completed, a special edition dedicated to statutory auditors, internal auditors and CFOs is in progress 4th edition starts X-XI/2024).
She conducts classes in: 1.accounting and business ethics; graduate, postgraduate and MBA 2. #ESG - postgraduate, MBA in #SANS, Koźmiński University, PIBR, SKwP.
Member of the Programme Council of the Responsible Business Forum #FOB competition for the most comprehensible Sustainability Reports (ESG), and also a member of the Programme Board of the Open Eyes Economy Summit (OEES, www.oees.pl) and therefore she has organised several OEES on tour conferences (three in Gdańsk, two in Bydgoszcz and Warsaw and one each in Szczecin and Poznan). She has been a speaker at these conferences or moderated discussion panels.
She is a member of the Programme Board of Solidarni w rozwoju - Gdańsk Congress organised jointly by the OEES, the Marshal's Office in Gdańsk and the Pomerania Development Agency. Organiser and speaker at these events.
Speaker at many conferences, debates in Rzeczpospolita (rp.pl) on the Economics of Value including Sustainability Reporting.
Member of the Chapter of the ‘Eagles of ESG’ Competition organised by Rzeczpospolita (rp.pl) in 2023 and 2024, ambassador of 30% Club Poland.
She is an ambassador of the 17 UN Goals in this goal 5 GENDER EQUALITY - she supports the authors of the Report ‘Women's Participation in Governance and Company Effectiveness’ (CFA Report) in promoting the Report.
Expert of the Climate Leadership Project https://climateleadership.pl/.
Member of the Programme and Scientific Council of the LifeSkills Foundation and its volunteer, which follows the principle of ‘A better world starts with a better school’.
She publishes articles in Rzeczpospolita about education on #ESG issues.
Member of the VERBA VERITATIS Competition Chapter for the best work on business ethics.
Laureate of the Responsible Business Forum Award - People Who Change Business and also laureate of the International Award for Education and Business: Archipelagos of Relationships 2019 #THINK #ENGAGE #ACT, as well as a laureate of the Sensitive Festival Award – “Sensitive People 2019”.
She organises many meetings integrating the Pomeranian business community on the topics of humanizing business, corporate social responsibility, supporting talent development.
Speaker and moderator of panel discussions around the economics of value responsible education, climate and sustainable development leadership.
She was a member of the Programme Board, organised by the Faculty of Management and Economics of the Gdańsk University of Technology and the Gdańsk Business Club, of the second conference in the series ‘Value Culture Economics’, entitled ‘In Search of Values’, which took place on 7-8 May 2014. ESO Audit, together with the MBA of the Gdańsk University of Technology, was a content partner of the conference.
She was a member of the Team for Corporate Social Responsibility appointed by the Minister of the Economy, she represented PIBR in this team.
She was a member of the Gdańsk Business Club from 2011 to 2023.
She participated in the preparation and conduct of classes at the Postgraduate Studies in IAS/IFRS for the Sopot School of Higher Education, addressed to members of boards, finance directors, chief accountants, employees of finance and accounting departments, financial controllers of companies and employees of accounting offices.
She was a member of the Chapter of Forbes Women - Sustainability Leaders Chapter, a member of the Chapter of the Responsible Business Forum #FOB competition for the best social reports and a member of the Chapter of the Competition for Financial Director of the Year - which was organised by ACCA.
Ms Ewa Sowińska submitted statement that upon taking her duties in the ORLEN Supervisory Board she will not be involved in any activity competitive with ORLEN S.A. and will not be a partner of any competitive civil law partnerships, partnerships, capital companies, will not be a member of any boards of competitive capital companies. She also stated that she is not on the list of insolvent debtors kept on record on the National Court Register Act.
